Delaware Seals

A corporate seal, a handheld device that prints a company's name, state of formation and date, is a mandatory requirement for official documents such as leases, deeds and bank documents. As the corporate seal is a tool used by corporations, the requirements for obtaining a corporate seal in Delaware are the same as the incorporation requirements.
Registered Agent

Delaware code requires that a corporation must have a registered agent for the entire lifetime of the corporation, to receive the annual report of the corporation and accept legal documents served to a corporation.
Director

A corporation must have one director. In Delaware, the director is permitted to hold all or other positions in a corporation, for example, secretary and treasurer.
Authorization to Incorporate Form

An Authorization to Incorporate form must be filled out and mailed to an incorporator. This form will ask for information such as your corporation's first and second choice for a name, the nature of the corporation, the name of the director and other members and officers and your address. The basic fee for incorporation is $225, which includes the Delaware State filing fee and one year of registered agent services. You will be given the option to purchase a corporate seal for an additional fee of $30.00.
